These Terms of Service (“Terms”) govern your use of Procurely (“we,” “us,” or “our”), operated by Synthra LLC at procurely.app. By creating an account or using our platform, you agree to these Terms.
1. Overview
Procurely is a procurement intelligence and proposal management platform that aggregates publicly available government contracting opportunities and provides tools to help businesses find, evaluate, and respond to them.
2. Eligibility
You must be at least 18 years old and capable of forming a binding agreement to use Procurely. By creating an account, you represent that you meet these requirements.
3. Account Registration
- You must provide a valid email address to create an account.
- You are responsible for maintaining access to your email, as it is used for authentication.
- You are responsible for all activity that occurs under your account.
- You may not create accounts for the purpose of abusing the platform, scraping data, or impersonating others.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose
- Attempt to access other users' accounts or data
- Scrape, crawl, or automated-extract data from Procurely beyond normal use of the platform
- Interfere with or disrupt the platform's infrastructure
- Submit false or misleading information in your company profile
- Use the platform to send unsolicited commercial messages through the introduction system
- Reverse-engineer, decompile, or attempt to extract source code from the platform
- Resell, redistribute, or commercially exploit platform data or AI-generated content
- Use the platform to submit fraudulent bids, misrepresent business certifications or capabilities, or facilitate any activity that would violate federal procurement laws or regulations
We reserve the right to suspend or terminate accounts that violate these terms.
5. Procurement Data
Procurely aggregates procurement opportunity data from publicly available government sources (.gov websites). While we strive for accuracy and timeliness:
- We do not guarantee that opportunity data is complete, current, or error-free.
- Opportunity details (deadlines, requirements, contact information) may change on the source portal without immediate reflection on Procurely.
- You should always verify critical details — especially deadlines and submission requirements — on the original government source before taking action.
- Procurely is not affiliated with any government agency.
6. AI-Generated Content
Procurely uses AI to generate proposal drafts, extract requirements, score bid fit, and review proposals. Regarding AI-generated content:
- AI outputs are starting points, not finished products. You are solely responsible for reviewing, editing, and validating all AI-generated content before use or submission.
- AI-generated proposals may contain inaccuracies, generalizations, or fabricated details. Do not submit AI-generated content without thorough human review.
- We do not guarantee that AI-generated content will meet any specific RFP requirements or evaluation criteria.
- To the extent any rights in AI-assisted outputs vest in Procurely, we assign those rights to you upon generation. You are responsible for any use of such content.
7. User Content
“User Content” includes company profiles, proposals, documents, response library entries, introduction messages, and ratings you create or upload.
- You retain ownership of your User Content.
- By using the platform, you grant us a limited license to store, process, display, and sublicense your User Content to third-party service providers as necessary to provide our services (e.g., showing your company profile in the directory, sending content to AI providers for processing).
- You are responsible for ensuring your User Content does not violate any third-party rights or applicable laws.
- We may remove User Content that violates these Terms.
8. Copyright Infringement (DMCA)
We respect intellectual property rights. If you believe content on Procurely infringes your copyright, you may submit a takedown notice to our designated DMCA agent at:

Your notice must include: (1) identification of the copyrighted work, (2) identification of the infringing material and its location on the platform, (3) your contact information, (4) a statement of good faith belief that the use is not authorized, and (5) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.
We will respond to valid notices in accordance with the Digital Millennium Copyright Act. We may terminate accounts of repeat infringers.
9. Directory and Introductions
- By completing a company profile, your company name, service categories, location, and ratings are visible to other registered users in the directory.
- You may control the visibility of additional profile fields through your privacy settings.
- The introduction feature sends an email to the other party with your name and email. Use this feature respectfully and professionally.
- Ratings and reviews must be honest and based on genuine interactions. We reserve the right to remove fraudulent or abusive reviews.
10. Team Access
- Account owners may invite team members to access their account with limited permissions.
- Account owners are responsible for the actions of their team members on the platform.
- Team access sessions expire automatically. Access can be revoked at any time by the account owner.
11. Fees and Payment
- Procurely currently offers free access during our early access period.
- We reserve the right to introduce paid subscription tiers in the future. If we do, we will provide at least 30 days' advance notice via email, including details about pricing, features, and any changes to your access.
- We will not retroactively charge for usage during the free access period.
12. Intellectual Property
- Procurely and its original content (excluding User Content and public procurement data) are the property of Synthra LLC and are protected by applicable intellectual property laws.
- The Procurely name, logo, and branding may not be used without our written permission.
- Public procurement data displayed on the platform is sourced from government websites and is not claimed as our intellectual property.
13. Limitation of Liability
To the fullest extent permitted by law:
- Procurely is provided “as is” and “as available” without warranties of any kind, express or implied.
- We are not liable for any lost bids, missed deadlines, inaccurate data, or business losses arising from your use of the platform.
- We are not liable for the accuracy, completeness, or timeliness of procurement data sourced from third-party government portals, which may change without notice.
- We are not liable for the accuracy or completeness of AI-generated content.
- We are not responsible for any interactions, disputes, or outcomes arising from introductions or directory connections made through the platform.
- Our total liability to you for any claims arising from your use of Procurely shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater. This limitation does not apply to liability arising from gross negligence or willful misconduct on our part.
14. Indemnification
You agree to indemnify and hold Procurely and Synthra LLC harmless from any claims, damages, or expenses arising from your use of the platform, your User Content, or your violation of these Terms.
15. Export Controls and Compliance
You represent that you are not located in, or a resident of, any country subject to U.S. trade sanctions, and that you are not on the U.S. Treasury Department's Specially Designated Nationals (SDN) list or any other restricted party list. You agree to comply with all applicable U.S. export control laws and regulations in your use of the platform.
16. Termination
- You may close your account at any time by contacting us.
- We may suspend or terminate your account if you violate these Terms or engage in activity that harms the platform or other users.
- Upon account deletion or termination, we will delete your User Content — including proposals, uploaded documents, response library entries, and profile data — in accordance with our Privacy Policy, within 30 days of the request.
17. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes via email at least 15 days before they take effect. For material changes that significantly affect your rights or obligations, we may require affirmative acknowledgment through the platform. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
18. Dispute Resolution
Before initiating any formal legal proceeding, you agree to first contact us at support@procurely.app and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved informally, either party may proceed with binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in the District of Columbia. Either party may seek injunctive relief in a court of competent jurisdiction if necessary to protect intellectual property or prevent irreparable harm.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Procurely that are not subject to arbitration shall be resolved in the state or federal courts located in the District of Columbia.
20. Force Majeure
Procurely shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to: government portal outages or changes, natural disasters, internet service disruptions, cyberattacks, changes in law or regulation, or third-party service provider failures.
21. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Procurely regarding your use of the platform, and supersede any prior agreements or understandings.
22. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
